Psychedelics.com Performance Marketing & Directory Agreement

Effective Upon Acceptance

This Performance Marketing & Directory Agreement (“Agreement”) governs participation in the Psychedelics.com Directory, referral programs, promotional services, and related commercial features (“Services”). By creating a listing, submitting onboarding information, or participating in Psychedelics.com referral activities, the Partner (“Partner,” “you,” or “your”) agrees to this Agreement and to the Platform Terms of Service available at https://psychedelics.com/terms.

“Psychedelics.com,” “we,” “our,” or “the Platform” refers to Psychedelics.com, Inc., a Nevada corporation.

1. BUSINESS LISTING, ELIGIBILITY & ETHICS

1.1 Directory Inclusion

Psychedelics.com maintains listings for Partners at no upfront cost. Listings may contain Partner-provided or publicly available information, including photos, videos, descriptions, pricing, team details, policies, reviews, and links. Psychedelics.com may edit, optimize, reorder, annotate, or remove listings to maintain accuracy, user safety, and overall platform quality.

1.2 Eligibility, Vetting & Content Rights

Partner Submissions

Partner must provide complete, accurate, and up-to-date information, including credentials, policies, safety practices, pricing, and material service changes.

Content Rights & Representations

Partner represents and warrants that it owns or has secured all necessary rights, licenses, and permissions for all content shown on the Platform, including but not limited to images, videos, logos, graphics, text, media, branding, and any other materials (“Partner Content”). Partner further represents that Partner Content does not infringe, misappropriate, or violate any third-party intellectual property rights, including copyrights, trademarks, publicity rights, or other proprietary rights. Partner is solely responsible for obtaining and maintaining all required rights, releases, and consents for Partner Content, including model or location releases, photo rights, or designer rights where applicable.

Public-Source Review

Psychedelics.com may review publicly available information related to Partner credibility and safety, including Partner websites, social platforms, professional directories, major review platforms, news coverage, and regulatory records.

Credible Indications & Red Flags

To protect users, Psychedelics.com may assess concerns indicating potential or elevated risks, including recurring allegations, unsafe practices, unlicensed activity, misconduct, discriminatory behavior, deceptive claims, or materially inaccurate representations. Actions may include contextualization, temporary pause, or removal.

1.3 Code of Conduct

Partners agree to maintain transparent pricing, truthful marketing, informed consent practices, trauma-informed and culturally sensitive care, harm-reduction practices, and compliance with applicable laws and regulations. Psychedelics.com may remove listings immediately for material violations.

Partner confirms that neither it nor key personnel are currently the subject of past or current active legal, civil, criminal, or regulatory actions related to serious misconduct, client harm, unlicensed practice, sexual misconduct, discrimination, or comparable issues.

Partner must notify Psychedelics.com within 14 days of any new formal complaint or investigation. False or misleading declarations may result in removal and liability for resulting harm.

2. PERFORMANCE MARKETING: ATTRIBUTION, COMMISSIONS & PAYMENT

2.0 Term

This Agreement is effective upon acceptance and remains in effect until terminated under Section 2.4.

2.1 Commission Structure

Commissions apply to retreats, services, facilitator referrals, subscriptions, event registrations, and digital/physical products. Unless otherwise agreed, commission applies to the initial transaction tied to the Conversion Event, plus any ongoing or repeat transactions related to that referral, including follow-up services, coaching, sessions, or similar offerings, where applicable.

Standard Commission Rates (Net Revenue)

  • Retreats — 15%
    • We take 15% on the first booked retreat a referred participant completes.
  • Digital Products — 15%
    • We take 15% on every purchase made using our link or code, or any purchase that can be credited to Psychedelics.com based on customer provided or observed evidence. 
  • Physical Products — 15%
    • We take 15% on every purchase made using our link or code, or any purchase that can be credited to Psychedelics.com based on customer provided or observed evidence. 
  • Memberships / Subscriptions / Coaching / Sessions — 15% first month, then 10% for 12 months
    • We take 15% on the first transaction, and 10% on every additional transaction for one year.

Default Rate; Negotiated Exceptions

The above rates represent Psychedelics.com’s standard pricing. Psychedelics.com may negotiate alternative rates with specific Partners or for specific offerings. Any negotiated rate, via email confirmation, onboarding correspondence, or written addendum, supersedes the standard rate solely for that Partner. All negotiated rates are confidential.

Confidentiality of Rates

Commission rates and negotiated variations may not be publicly disclosed.

2.2 Tracking, Reporting & Reconciliation

Attribution Methods

Referrals may be attributed by unique URLs, UTM parameters, cookies, concierge handoffs, editorial placements, newsletters, customer self-reporting, or reasonable influence-based signals.

Monthly Reporting

By the 10th of each month, Psychedelics.com provides click and lead logs; Partner provides a list of Platform-originating bookings and completed retreats/services requiring commission payment.

Reconciliation Process

Parties conduct a reconciliation review on or around the 15th of each month to confirm conversions, adjust attribution, and correct discrepancies.

Audit Rights

Either party may request supporting documentation quarterly with 10 business days’ notice.

Grace Period

Partners may invoke a limited grace period up to two times per year for reporting delays.

2.3 Payment Terms

Commissions accrue only on Qualified Referrals. Psychedelics.com issues monthly statements, and Partner remits undisputed amounts Net-30 from the last date of services rendered (the last day of a retreat). Refunds or chargebacks reduce commission obligations. Net Revenue excludes taxes, payment-processing fees, discounts, shipping, and refunded or uncollected amounts.

2.4 Termination

Convenience

Either party may terminate with 30 days’ written notice.

Cause

Immediate termination may occur for material breach, repeated failure to report or remit, fraud, intentional misreporting, significant safety concerns, legal issues, or false declarations.

Post-Termination Obligations

Outstanding amounts are due within 30 business days. Confidentiality, indemnification, non-circumvention, and liability limitations survive.

2.5 Referral Attribution

Key Principle

A referral is attributed when Psychedelics.com materially influenced the customer’s decision within a 365 day attribution window.

Attribution Methods

Attribution may occur through:

  1. Direct click-based referrals (e.g., users clicking from Psychedelics.com pages, listings, newsletters, social channels, or campaigns).
  2. Self-reported attribution, where a user states they found or selected the provider through Psychedelics.com, the concierge, or related channels (verbally, via intake forms, email, or booking notes).
  3. Concierge-facilitated introductions, including handoffs conducted via email, messaging, AI assistant, phone, or platform-initiated communication.

Definitions

  • Conversion Event: first qualifying transaction

3.1 Independent Relationship

This Agreement does not create a partnership, employment, franchise, or joint venture.

3.2 Confidentiality

Each party must maintain the confidentiality of the other party’s non-public information including lead data, commission structures, negotiated rates, analytics, and business strategies.

3.3 Publicity & Content Usage

Psychedelics.com Rights

Partner grants Psychedelics.com a non-exclusive, royalty-free license to use Partner Content (as defined in Section 1.2) for directory operations, editorial features, concierge and referral functions, and AI-powered Psybrarian features.

Partner Rights

Partner may reference its participation on Psychedelics.com in truthful, non-misleading ways.

3.4 Non-Disparagement

Neither party will knowingly make false or harmful public statements about the other.

3.5 Indemnification

Partner Indemnifies Psychedelics.com

Against claims arising from Partner services, Partner Content (including IP infringement), violations of law, or misrepresentations.

Psychedelics.com Indemnifies Partner

Against misuse of Partner IP, platform-level regulatory violations, or Psychedelics.com-created marketing materials.

3.6 Limitation of Liability

Neither party is liable for indirect or consequential damages except for confidentiality breaches, IP infringement, willful misconduct, or liquidated damages under non-circumvention.

Liability is capped at commissions paid in the previous 12 months.

3.7 Risk Disclaimer

Psychedelics.com makes no guarantees regarding conversion rates, revenue outcomes, safety assessments, or customer suitability.

3.8 Modifications

Psychedelics.com may update this Agreement with 30 days’ notice. Continued participation constitutes acceptance.

3.9 Notices

Formal notices may be delivered via email or courier and are effective upon confirmed receipt.

APPENDIX A — ADDITIONAL TERMS

A1 Data Protection & Privacy

Each party must comply with privacy laws, implement reasonable security measures, and notify the other within 72 hours of discovering a breach involving the other party’s data.

A2 Arbitration & Governing Law

Disputes are resolved by binding arbitration in Nevada under AAA rules. Nevada law governs. Either party may seek emergency injunctive relief in court for confidentiality or IP protection.

Partner is solely responsible for compliance with licensing, safety, marketing rules, consumer protection laws, and professional regulations related to its services.

A4 Non-Circumvention

Partner may not bypass Psychedelics.com tracking or intentionally convert Platform-originating leads off-platform for 12 months following the last Platform interaction. Willful circumvention may result in unpaid commissions, attorney’s fees, and liquidated damages equal to 300% of unpaid commissions.

ACCEPTANCE

By participating in the Psychedelics.com Directory, creating a listing, or accessing referral tools, Partner agrees to this Agreement, the Platform Terms of Service, and all incorporated policies.
